Lumient Corporation – Terms of Sale

THESE TERMS OF SALE (THESE “TERMS OF SALE”) GOVERN YOUR PURCHASE OF ANY PRODUCT OR SERVICE OFFERED BY LUMIENT CORPORATION (“LUMIENT,” “US,” OR “WE”) THROUGH LUMIENT.LA (THE “SITE”) OR (UNLESS OTHER TERMS OF SALE ARE EXPRESSLY AGREED BETWEEN THE PARTIES IN WRITING) BY TELEPHONE, EMAIL, OR BY VISIT TO OUR PREMISES. PLEASE READ THESE TERMS OF SALE CAREFULLY. THEY CONTAIN VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU. BY PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPTED, AND AGREED TO BE BOUND BY THESE TERMS OF SALE, WITHOUT LIMITATIONS OR QUALIFICATIONS OF ANY SORT. THESE TERMS OF SALE ARE SUBJECT TO MODIFICATION WITHOUT PRIOR WRITTEN NOTICE AT ANY TIME IN OUR SOLE DISCRETION. YOU SHOULD PERIODICALLY REVIEW THESE TERMS OF SALE TO ENSURE THAT YOU REMAIN UP TO DATE ON ALL SUCH CHANGES.

Orders

Unless you and Lumient Corporation have executed a separate written sales agreement, then (unless such separate agreement is explicitly referenced in your order), these Terms of Sale will govern our sale of products and/or services to you. By placing an order with Lumient, you agree to be bound by these Terms of Sale for that order.

The preprinted terms of any documents you submit to us in conjunction with an order (including purchase orders) will not alter, change, or add to these Terms, regardless of how we acknowledge or accept your order. All orders are deemed to have been placed and accepted in Los Angeles, California.

All orders are subject to acceptance by Lumient Corporation. Once an order is accepted, it cannot be canceled, modified, or rescheduled without our prior written consent. We reserve the right to reject or cancel any order, or to limit the size of any order, at any time in our sole discretion.

Product Characteristics, Fragrance Variability, and Performance

Our products are handcrafted and manufactured in small to large batches using natural soy wax, fragrance oils, and cotton or wooden wicks. As with all natural products, minor variations in appearance, fragrance throw (hot or cold), and color may occur from batch to batch.

Fragrance performance is influenced by factors outside our control, including (but not limited to):

  • Wick size and type
  • Vessel size and material
  • Ambient room temperature and airflow
  • Customer burn habits and safety practices

While we target precise fragrance load percentages and work with multiple suppliers to maintain consistency, fragrance oils are natural or synthetic blends that can vary slightly over time or between suppliers. Lumient tests and documents performance on our production line, but final results in your environment may differ. Such variations are not considered defects and do not qualify for refunds.

In cases where a fragrance oil is discontinued, out of stock, or reformulated by our supplier, Lumient reserves the right to substitute a comparable fragrance of equal or higher quality in order to fulfill your order.

Availability

Product and raw material availability is subject to change without notice. If a product is unavailable when you place your order, we will do our best to provide an estimated availability date. Lumient shall not be held liable for any damages, claims, or losses arising from products being out of stock, delayed, or discontinued.

Prices

Prices will be our published prices listed on lumient.la, or as otherwise quoted to you in writing. Written or electronic quotes are valid only for the period of time specified in the quote. We reserve the right to change prices for any product at any time without notice (except that we will not increase prices for products that have already been ordered and accepted but not yet shipped).

Lumient is not responsible for typographical errors, pricing errors received from suppliers, or technical errors on the Site. If a product is listed at an incorrect price, we reserve the right to refuse or cancel any orders placed at the incorrect price, regardless of whether the order has been confirmed or payment has been processed.

Minimum Orders

Lumient does not require a minimum dollar amount for orders unless otherwise stated. Some products, custom jars, private-label packaging, or bulk fragrances may require minimum order quantities or production runs. Promotional discounts may require a minimum order value or quantity to qualify.

Taxes and Duties

All prices are net of any sales, use, excise, value-added (VAT), or similar taxes imposed by any governmental authority, as well as international shipping charges, broker’s fees, consular fees, and customs duties. These costs are solely your responsibility.

If Lumient is required to pay any such taxes or charges on your behalf, you agree to promptly reimburse Lumient immediately upon receipt of our invoice. For international shipments, if you fail to pay customs or duties, Lumient reserves the right to have the product returned or disposed of at your cost.

Tax Exemption

If you or your organization is exempt from sales tax, you must provide valid documentation prior to placing your order to avoid being charged sales tax. We cannot refund sales tax for orders placed before your tax-exempt documentation is processed.

Payment Terms

Payment is required at the time of order unless Lumient has granted you written credit terms. We accept Visa, MasterCard, American Express, Discover, ACH transfers, and other approved payment methods.

By placing an order, you agree not to initiate chargebacks or disputes with your credit card provider without first contacting Lumient to attempt resolution. You agree to indemnify Lumient for any expenses incurred as a result of unauthorized chargebacks.

Security When Ordering

Lumient uses industry-standard Secure Socket Layer (SSL) encryption and firewalls to ensure the security of your personal and payment data. Credit card details are never stored on our servers; instead, tokenized data is stored through PCI DSS compliant systems for your future convenience.

Shipping and Risk of Loss

Orders will ship by courier, parcel service, or motor freight as selected by you at checkout or by Lumient based on the order characteristics.

Risk of loss transfers to you once the order is picked up by the carrier. It is your responsibility to provide accurate shipping and contact information. Additional charges may apply if shipments must be re-routed, redelivered, or returned due to incorrect information or inability to receive.

Lumient is not responsible for shipments delivered to an incorrect address if that address was provided by you at checkout.

Returns and Refunds

Because all Lumient products are custom manufactured to order, all sales are final. Returns are only accepted for defective products reported within 10 business days of receipt. Approved returns will be refunded or replaced at Lumient’s sole discretion.

Variations in color, fragrance throw, or minor surface imperfections (such as frosting, wet spots, or wick placement variances within acceptable industry tolerances) do not constitute defects.

Warranty; Disclaimer

Lumient transfers to you, to the extent permitted, any warranties provided by our suppliers or manufacturers. Except as expressly stated, Lumient makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

It is your responsibility to ensure that products are tested for safety, compliance, and performance in your specific environment prior to resale or distribution.

Reselling and Private Label Use

You are solely responsible for ensuring compliance with all federal, state, and international labeling requirements for products sold under your private label. Lumient may provide recommended labeling text (including ASTM F2417 candle safety labeling), but final compliance is your responsibility.

Intellectual Property

All candle formulas, fragrance load percentages, manufacturing processes, label designs, artwork, and production technology are the exclusive intellectual property of Lumient Corporation. You may not reproduce, reverse-engineer, or derive competitive products from Lumient’s processes or specifications.

Unauthorized Use of Products

Lumient’s products are not intended for unsafe or unauthorized applications. Misuse can result in fire, injury, or property damage. Lumient shall not be liable for any damages resulting from misuse, negligence, or unsafe handling of its products by you or your customers.

Limitation of Liability

IN NO EVENT SHALL LUMIENT’S LIABILITY EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. LUMIENT SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Force Majeure

Lumient shall not be liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, war, labor disputes, shipping delays, raw material shortages, or compliance with government regulations.

Governing Law and Arbitration

These Terms shall be governed by and construed under the laws of the State of California. Any dispute arising under these Terms shall be resolved exclusively by binding arbitration in Los Angeles, California, administered by the American Arbitration Association.

Entire Agreement

These Terms of Sale, together with any written agreements or order confirmations issued by Lumient, constitute the entire agreement between you and Lumient. No modification or waiver shall be binding unless in writing and signed by both parties.

Severability

If any provision of these Terms of Sale is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
