Lumient Corporation – Terms of Sale
THESE TERMS OF SALE (“TERMS”) GOVERN YOUR PURCHASE OF ANY PRODUCT OR SERVICE OFFERED BY LUMIENT CORPORATION (“LUMIENT,” “WE,” OR “US”) THROUGH WWW.LUMIENT.COM (THE “SITE”), OR (UNLESS OTHER TERMS OF SALE ARE EXPRESSLY AGREED BETWEEN THE PARTIES IN WRITING) BY PHONE, EMAIL, OR VISIT TO OUR PREMISES. PLEASE READ THESE TERMS CAREFULLY. BY PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS WITHOUT LIMITATION OR QUALIFICATION. THESE TERMS ARE SUBJECT TO CHANGE AT ANY TIME WITHOUT PRIOR NOTICE. WE RECOMMEND REVIEWING THEM PERIODICALLY TO STAY INFORMED OF UPDATES.

1. Orders
All orders are subject to acceptance by Lumient Corporation. Once accepted, orders cannot be canceled, modified, or rescheduled without our written consent. Preprinted terms on purchase orders will not supersede these Terms. We reserve the right to reject or limit any order at our sole discretion. Orders are deemed placed and accepted in Los Angeles, California.
2. Product Characteristics & Variability
Our candles are produced using industry-standard equipment and tested to meet high quality standards. Slight variations in color, fragrance throw (hot/cold), and appearance may occur due to the natural characteristics of soy wax, fragrance oil performance, and environmental conditions during production. We work with multiple fragrance suppliers and formulate to target fragrance load percentages, but exact consistency cannot be guaranteed between batches.
3. Fragrance & Performance Disclaimer
Fragrance performance can vary based on wick selection, vessel type, environment, and end-user burn conditions. Lumient Corporation tests and documents fragrance loads and recommended wicks, but final performance results may differ in your setting. By purchasing from Lumient, you acknowledge that fragrance throw, burn characteristics, and other performance outcomes are partially outside our control and are not grounds for return or refund.
4. Prices
Prices are as listed on the Site or quoted in writing and are subject to change without notice (except for orders already accepted but not yet shipped). Written or electronic price quotes are valid only for the period specified.
5. Minimum Orders
No minimum order amount is required unless specified in a quote or promotion. Certain SKUs or packaging types may have minimum production quantities.
6. Taxes & Duties
All prices exclude sales, use, excise, VAT, and similar taxes. You are responsible for all such taxes, fees, customs duties, and brokerage charges. If Lumient Corporation pays such amounts on your behalf, you agree to reimburse us immediately upon receipt of invoice. Tax exemption certificates must be submitted and approved prior to order placement.
7. Payment Terms
Payment is due at the time of order unless alternate terms have been agreed to in writing. We accept credit card, ACH, and other approved payment methods. You agree not to initiate chargebacks or payment disputes without first contacting Lumient Corporation.
8. Production Lead Times
Lead times vary by product, fragrance availability, order volume, and seasonality. Estimated ship dates are provided at the time of order but are not guaranteed. Production delays due to raw material shortages, fragrance supplier substitutions, or force majeure events do not entitle you to cancel orders in production.
9. Shipping & Risk of Loss
Orders ship via carrier chosen by Lumient Corporation unless otherwise specified. Title and risk of loss transfer upon carrier pickup. It is your responsibility to provide accurate shipping details and receive deliveries. Re-delivery, rerouting, or storage fees may apply for failed deliveries.
10. Returns & Refunds
Because candles and private-label products are custom-manufactured, all sales are final. Returns are accepted only for defective products reported within 10 business days of receipt. Defective items will be replaced or refunded at Lumient Corporation’s sole discretion. Variations in color, fragrance intensity, or burn profile are not considered defects.
11. Warranty & Disclaimer
Except as expressly stated herein, LUMIENT CORPORATION MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. It is your responsibility to test products for compatibility and performance in your specific application before resale or distribution.
12. Fragrance Substitution Policy
If a fragrance oil is discontinued or unavailable from our suppliers, Lumient Corporation reserves the right to substitute a comparable fragrance of equal or higher quality to fulfill your order, unless you have requested in writing to be notified prior to substitutions.
13. Reselling & Private Label Use
You are solely responsible for ensuring that products sold under your private label meet all applicable labeling requirements (e.g., ASTM, CPSC, CLP, or other regional standards). Lumient may provide recommended safety labels but assumes no liability for compliance of products you resell.
14. Limitation of Liability
LUMIENT CORPORATION’S LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. IN NO EVENT SHALL LUMIENT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR BUSINESS INTERRUPTION.
15. Intellectual Property
All manufacturing processes, fragrance formulations, and design assets remain the intellectual property of Lumient Corporation unless explicitly transferred in writing. Reverse engineering of fragrance blends, formulas, or production methods is prohibited.
16. Governing Law & Arbitration
These Terms are governed by the laws of the State of California, excluding conflict-of-law provisions. Any disputes shall be resolved through binding arbitration in Los Angeles, California, under the rules of the American Arbitration Association.
